1. Acceptance of These Terms
These Terms and Conditions (“Terms”) are a binding agreement between you and JeffKho LLC (“HeyClover,” “Clover,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Service.
2. Eligibility and Family Accounts
You must be at least 18 years old, or the age of legal majority where you live, to create or control a Clover account. The Service is currently intended for adults, including parents and legal guardians.
If you add information about a spouse, partner, child, or other household member, you represent that you have the authority to provide that information and use it through the Service.
If Clover supports shared household access, each adult user is responsible for information they add, decisions they make, and access they grant to other household members.
3. The Clover Service
Clover is designed to help families think through decisions by considering information users provide, such as schedules, preferences, constraints, priorities, and previous decisions.
The Service may ask questions, summarize family context, compare options, identify tradeoffs, and remember certain decisions or preferences for later use. Features may change as the Service evolves.
4. Text Messaging Terms
If you opt in to use Clover by text message, you consent to receive conversational, transactional, account, and service-related messages at the mobile number you provide.
- Message frequency varies based on your use of Clover.
- Message and data rates may apply.
- Reply STOP to opt out.
- Reply HELP for help.
- Consent to receive marketing messages is not a condition of purchase.
Wireless carriers are not liable for delayed or undelivered messages. You are responsible for keeping your mobile number accurate and notifying us if your number changes or is transferred to another person.
5. Your Content and Family Information
You retain ownership of the information, messages, files, and other content you submit to Clover (“User Content”).
You grant us a limited, non-exclusive license to host, process, transmit, reproduce, and otherwise use User Content as reasonably necessary to provide, secure, maintain, and improve the Service, consistent with our Privacy Policy.
You are responsible for ensuring that your User Content is lawful, accurate enough for your intended use, and that you have the right to provide it.
6. AI-Generated Information and Important Limitations
Clover may use artificial intelligence. AI-generated responses can be incomplete, inaccurate, outdated, or inappropriate for a particular situation. Clover may also misunderstand family context or infer something incorrectly.
Do not rely on Clover as the sole basis for decisions involving emergencies, medical care, mental health treatment, legal rights, financial transactions, child safety, or other high-stakes matters. Seek qualified professional advice when appropriate.
In an emergency, contact the appropriate emergency service or trusted professional rather than Clover.
7. Acceptable Use
You agree not to:
- use the Service for unlawful, fraudulent, abusive, harassing, or harmful purposes;
- impersonate another person or misrepresent your authority to provide information about them;
- attempt to gain unauthorized access to another family’s data or account;
- interfere with or disrupt the Service, its infrastructure, or its security controls;
- use automated means to scrape or extract data from the Service except as expressly allowed;
- reverse engineer or circumvent technical protections except where the law expressly permits it; or
- use the Service in a way that violates another person’s privacy or legal rights.
8. Third-Party Services
The Service may rely on or connect to third-party products, such as telecommunications providers, calendars, cloud services, payment processors, or AI providers. Third-party products may have their own terms and privacy practices.
We are not responsible for third-party services that are outside our control.
9. Intellectual Property
HeyClover and its licensors own the Service, including its software, design, trademarks, branding, and other materials, excluding User Content.
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable right to use the Service for its intended family decision-support purposes.
10. Fees, Billing, Cancellations, and Refunds
10.1 Pricing and Payment
Some Clover features may be free, while others may require a paid subscription or other fee. The price, billing frequency, applicable taxes, and material purchase terms will be shown to you before you complete a purchase.
By providing a payment method and completing a purchase, you authorize JeffKho LLC and our third-party payment processor to charge the amounts shown at checkout, including applicable taxes, to your selected payment method.
10.2 Payment Processing
Payments are processed on our behalf by one or more third-party payment processors. The payment processor used for your transaction will be identified at checkout or in the payment interface. We do not directly store your full payment-card number or card security code. Payment information you provide is handled by the applicable payment processor under its own terms and privacy policy.
If a payment fails, is declined, or cannot be completed, we may ask you to update your payment method and may suspend access to paid features until the outstanding amount is paid.
10.3 Automatic Renewal
If you purchase an automatically renewing subscription, your subscription will renew for successive periods of the same length unless you cancel before the next renewal date. You authorize recurring charges to your payment method for each renewal at the then-current price, plus applicable taxes.
Where required by law, we will provide any required renewal notices or disclosures. If we materially change the price of your subscription, we will provide notice before the new price applies to a future renewal.
10.4 Cancellation
You may cancel an automatically renewing subscription at any time using the cancellation method made available through the Service or by contacting support@heyclover.com. Unless otherwise stated at the time of purchase, cancellation takes effect at the end of your current paid billing period. You will retain access to paid features through the end of that period, and you will not be charged for the next renewal period.
10.5 Refund Policy
If you are not satisfied with your first paid Clover subscription purchase, you may request a refund within 7 days of the initial charge by contacting support@heyclover.com. This first-purchase refund is limited to one refund per customer or household.
After that initial 7-day period, subscription fees are generally non-refundable, including for partially used billing periods, unused features, or a decision to stop using the Service before the end of a paid period. Renewal charges are also generally non-refundable once processed, except where required by law.
If you believe you were charged in error, charged more than once for the same purchase, or experienced another billing problem, contact support@heyclover.com within 30 days of the charge. We will review the issue and, where appropriate, correct the charge or issue a refund or account credit.
We may also issue refunds or credits in other circumstances at our discretion. Nothing in this Section limits any refund, cancellation, or other consumer right that cannot legally be waived.
10.6 Trials and Promotions
If we offer a free trial, promotional price, coupon, or other special offer, the specific terms presented with that offer will apply. If a free trial automatically converts to a paid subscription, we will disclose that before you begin the trial, including the price and when billing begins.
10.7 Taxes
Prices may exclude sales, use, excise, or similar taxes unless stated otherwise. You are responsible for applicable taxes associated with your purchase, except taxes based on our net income.
11. Suspension and Termination
You may stop using Clover at any time. You may request account deletion by contacting support@heyclover.com.
We may suspend or terminate access if we reasonably believe you violated these Terms, created security or legal risk, failed to pay applicable fees, or used the Service in a way that could harm HeyClover, our providers, or other users.
Sections that by their nature should survive termination will continue to apply, including intellectual property, disclaimers, limitations of liability, and dispute provisions.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We do not warrant that Clover will be uninterrupted, error-free, secure, or always accurate, or that its suggestions will produce a particular result.
We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade, to the extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by law, HeyClover and its officers, directors, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities arising from or related to the Service.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed $100.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless HeyClover and its officers, directors, employees, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your unlawful use of the Service, your violation of these Terms, or your violation of another person’s rights.
15. Governing Law and Disputes
These Terms are governed by the laws of Missouri, without regard to conflict-of-law rules. Any dispute not otherwise resolved by agreement will be brought in the state or federal courts located in Cass County, Missouri, and you consent to their jurisdiction and venue.
16. Changes to These Terms
We may update these Terms as the Service evolves. If changes are material, we will provide reasonable notice through the Service, by text or email where appropriate, or by updating the “Last updated” date above.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms, to the extent permitted by law.
